How close is the downpipe allowed to be?
Put heat reflective tape on the oil pan and you're good to go. That and oil temps are low as hell on the street compared to what's safe. I have to flog my car to get it up to ~170*F on the street, and at the track I'm at 240*F after a few laps and that's still considered "fine" for synthetic oil(I use Mobil1). You just can't generate near the heat needed to break down the oil on the street, even if you think you're driving like a maniac.
I think if you move it a little more to the passenger side and put the flex after the oil pan you will have more room between the Dp and the pan.
Also rotate the 3 bolt flange (like a triangle) which will give you a little more ground clearance.

The cool thing about stainless steel is that it doesn't hold heat, so at idle its not nearly as hot as when your driving...and when your driving you have air to cool down the area. I would say your OK.
