IS IT THE TRANNY, CLUTCH OR THROW OUT BEARING?NEED HELP ASAP

Just the other night on my way back home I was rollin on my Teg(DC2)exiting the freeway and I down shifted into 3RDand my TRANNY(HYDROLIC) just grinded like no other and kicked the gear back to me... first thought was "I need a new throw out bearing or clutch" a I read on other threads... but when I got my clutch kit the next day I took it to a freinds house to drop it in and the whole crew was hanging out...one of my freinds said its your syncroskiss your tranny good bye...first thought "was **** thats all i needed was a bad tranny".. another buddy of mine said it could just be your clutch slippin,,and my cousin said it could be my throw out bearing ....so anyways my freind takes the street and spins on 1ST and 2ND....and he got in 3rd but on the way back down the streethe noticed at low rpms 3rd geargrinded...he stopped put it in neutral and we heard the slight winding noise...(Iheard it before but thought nothing of it) then my cousinand my friend said its my trannyand thats the first sign of it starting to give out!
my final though was "****, WHAT ELSE CAN GO WRONG!"
so i was wondering it this has ever happen to guys or if you know what it possibly could be ....(its only thirds that grinds)what should i do... I NEED MY CAR !!!
o yea sorry about the whole novel I just wanted to get detailed as much as possible

You should apologize for being such a douchebag and typing in all caps. No one wants to read that whole damn thing when it looks like your shouting. It sounds like you need a new 3rd gear synchro set, though.

1st and 3rd gear synchros are notorious for going bad on honda trannys. My 1st went out at around 110k miles in my civic, and my 3rd went out at around 140k on my integra. Or check this out

sorry about the caps lock i noticed after it was posted...i do data trace and such at work and everthing has to be cap locked...
