See the how-to above, but off the top of my head: jack, jackstands, 14mm socket, 12mm socket, o2 socket (they have a hole for the wires to go through, so you don't have to unclip it), socket wrench, 12mm closed end wrench, torque wrench is optional - but be gentle on those bolts, anti-sieze lubricant for the threads on the o2, maybe a new header gasket from the dealer.

You'll need:

impact gun to break the bolts between header and cat (unless you're superman).
12" socket
12" wrench
adjustable wrench or o2 sensor tool (o2 sensor)
14" wrench (to hold the other side of the bolt between header and cat on the back)

That should be all.

Very true, if you don't have an impact, soak the bolts in PB Blaster the night before and have a large breaker bar - I have had good luck with that method, but I have also had bad luck when I dropped the breaker bar on my head and started bleeding.

Yea, I got bloody fingers from using the cheater method (link 2 wrenches together and push with all your might to break). It just slipped off the corners of the nut and I was feeling pain for a few minutes.

It would be worth it to take your car to a friend with an air tool set. If you don't know anyone, pay an independant mechanic like 5 bucks and have him break it for you, then drive home and enjoy the sound of open header for a few minutes before you install the header yourself.

You can screw up. Be careful with the o2 sensor, don't mess up the wires, and don't get anti-sieze on the sensor part. Also, make sure you reuse the stock doughnut gasket that goes between the header and cat. Lastly, when you torque the header bolts, do it from inside-out and do it in steps before torqueing it down all the way. It's also pretty hard to maneuver the one piece header into the engine bay, so be careful and be willing to loosen up the fan and radiator hoses.
