I know the OEM must warranty their catalytic converters for 100k miles, I do not think that same warranty applies to the O2. Just beuase the computer says it has a slow response does not mean the ECU is bad. The O2 can become clogged up and lazy over time.
Maybe my response wasn't clear. Honda has a service bulletin to fix this problem (#99-049). If you have under 80K miles on your car, Honda will pick up the bill.

i was told that i could get a used ecu for 50 or so and that the install was just plug and play. Why would it cost a 1000 plus from the dealer.
A new computer from the dealer is a little over $800.00. Labor and tax will get you to about $1000.00. Keep in mind the new ECM will be an update to fix this problem. If you buy a used computer, chancer are you'll have the same problem.
If I were you, I would just clear the light and drive. It may be another year before you set the code...

just clear it if you are only getting this code once a year who cares . honda has ecu's that just reduce the sensitivity of that sensors imput.it will not make your car run better .discout auto parts (advanced auto)clears codes for free.if it becomes a constant problem then concider the new ecm.
