Yep. its under the rear seat.
Disconnect your battery first. Once the rear seat is out, theres only about 6 or 8 bolts total (4 or 6 on the cover, and 2 holding the pump) and a hose clamp.

couple tips from mcguyver:
1. grab a couple pencils, small golf ones or NO. 2's and use these to plug up the ends of your fuel lines once you have disconnected them. that way your hands are free to replace your pump without worrying about gas spilling inside the car
2. take your smoke break after the install is complete

Also relieve the fuel pressure first or gas will spray all over. I would suggest getting a new gasket for it from Honda (the one that seals the cover to the metal under the seats) incase you rip yours. It may seem stuck at first, but just keep wiggling and it will come out.

One of my dumbass friends did this while I changed his filter on his Jag XJ6. Some fuel spilled into his trunk and at the same time he put a cig in his mouth. I was like WTF?!?!?!? And jumped out of the trunk to which he laughed his *** off thinking we were going to blow up...</TD></TR></TABLE>
Wow, I would make him stay far far away from me whenever I worked on the fuel system.
