Icon6 97 Civic EX 5spd noises.....

I'm hearing this howl, almost a grind (similar to clutch slipping). The noise is only in 1st & 2nd during acceleration (of any speed) and when I down shift when slowing down in 3rd & 2nd. There's a clicking noise when I'm completely stopped in neutral, but when I push on the clutch it stops. The clutch isn't actually slipping though? I bought a new clutch and tranny but I was going to build the new tranny for higher HP and install it with the new clutch, but should I replace the tranny now or does this sound more like a clutch/flywheel issue?

The tranny still shifts smooth!?!? I'm thinking it may be the bearings in the transmission have gone bad.... Any help would be greatly appreciated! Thanks!
