Exhaust/cel question

you don't always get the CEL. most people get a CEL after installing an exhaust because they remove their cat by putting in a test pipe. you can also get a CEL if you gut your cat out. however, if you use the stock cat, or purchase a high flow cat like carsound or catco (not the ebay "high flow cats"), you will not get a CEL if installed properly. The "high flow cats" you see on ebay are nothing more than resonated test pipes, which will probably result in a CEL as well.
the purpose of the secondary o2 sensor in obdii cars (located in the cat) is to determine if the cat is functioning. it basically compares its reading with the primary o2 sensory (located on the header). if it sees that the levels of hydrocarbons is not lower, it gives the CEL light. usually what people with test pipes do to bypass this is install an o2 simulator (a little more info here). i think the easiest solution is to just install a real high flow catalytic converter. kteller.com sells carsound cats with the flanges prewelded for your application.
