Default tranny or engine problem?

okay i recently notice when im accellorating in first to second my car sounds like a motorbike, lik grinding sound, and when i down shif t from 2nd to first its really bad, sounds like when they spin the wheel on wheel of fortune wit hthe blocker in between the bars hitting as the it goes round.

sounds sorta like a a windup chainsaw motorbikish sound in low gear and when rpms r high i can still hear it but not as much also when i start in first and accelerate it sounds lik a motor bike,


could this be due to lack of tranny fluid? or a catalic converter problem ?

it sounds like its coming from my exhaust but yet its only when i accelerate in gear or down shift , pressing gas while neutral doesn't make the noise.


also im running rich im burning gas, my exhaust tips r always black and watery like gas smell
