What is wrong with my Tranny? Clutch?

What is wrong with my Tranny? Clutch?
Heres the facts:
91 CRX Si
146.000 Miles
Stock D16
Stock Trans
New Gear Oil put in today
Heres the problem:
While UP shifting in to third theres a slight grind everytime.
It goes into gear but grinds when going in. Though if i have the speed below 30MPH it dosnt seem to grind at all. But when DOWN shifting it dosnt grind as bad if any at all. What in the heck is this...is the 3rd gear shot or is it something with the clutch or throw-out bearing???
