p0240 code says o2 sensor or cat is bad

the code says its either a 02 sensor or a dirty cat. convert. the code is p0420..the car is running fine

What year and model Honda?

Generally, P0420 is related to the cat.

2001 honda accord 4 cyl. runs great.. CEL is on code p0420.. 181245 miles..concerned about the code and expense if its cat.
