No differences we could find. Everything seemed to be exactly the same for '07.

Honda usually makes all cars in a four year run, or in other words they make the same exact car for four years straight, then change it. The S2000 would have it's 1st generation from 1999 to 2003, 2nd generation from 2004 to 2008. So considering that time frame, no changes to the S2000 platform should be made until the 2008 model year. I would consider it far more likely that they would discontinue the line before they would make all new changes, but that's purely speculation on my part.

Differences from 1st gen S2000's to 2nd gen S2000's include:

Exterior:
Front spoiler
Rear spoiler
Rear valance
Exhaust tips
Taillights.
Rear glass.
Rims.

Interior:
Door trim.
Radio cover.
Center console.
Defrost added to rear glass.
Instrument guages.
Shifter.
Pedals.
Seats have OPDS sensors.

Performance:
2nd gen gets 2.2L motor, but drops redline from 9k to 7800.
Motor has gold plate instead of silver across the top.

That's all I can think of just off the top of my head. I'm sure there's stuff I've forgotten. Performance-wise, based on the cars I have actually seen or put on a dyno, the 1st generation cars out-perform the 2nd gen cars and have a better driving experience with a higher redline being more fun. However, I think the 2nd gens have a much better interior and guage cluster with a much better convertible top.
