MDX or RX330
the MDX is a little larger. has more power and more standard features/less options. the RX can get pricey with gadgets. the MDX is based off the honda minivan, the RX is based off the toyota minivan. styling, i prefer the MDX, it is more traditional and a nice simple design(simple is elegant). lexus was trying to many different ideas with with the RX.
The RX330 is much more quieter than the MDX...but go with what makes you happy. If you don't mind the noise and want bang for the buck, get the MDX. If you want a much more quiet & smooth ride with a more luxurious interior, and don't mind paying a bit more, get the RX. Personally, I would get the RX. Awesome vehicle. I get to drive one as a loaner car from my dealership and it's a great car. I have driven an MDX also, from my Acura dealer when I used to have my Legend, and it was nice, but I was surprised by how much road noise there was. The 2000 MDX was noisier than my 1989 Legend coupe!
the 2004 MDX is much improved in both power, interior, sound-proofing and the awd system.
my parents looked at the MDX extensively, but went with a mercedes E320 4matic wagon. twice the price, definitely worth it.

rx is fugly. if you wanna be a brand *****...which most pple are when they have to make a decision between lexus/acura. i've never driven any of the two vehicles, but i've read great deals on both cars, and the rx has the lead for just the "luxury" features, whereas the mdx has the best stats from a vehicle perspective (ex: power, tech, awd system etc etc.)
I don't think you can beat Acura in terms of luxury and value. This is based on my personal experience with almost every model including the Vigor, Legend, TL, RL, Integra, MDX, NSX, and even the SLX (acura's utter failure of an SUV that was based off of the Isuzu Trooper).
Don't get me wrong, Toyota makes very good products that last a long time... but I still don't think your getting the same bang-for-your-buck value with Lexus that you do with Acura.
This is purely my personal opinion.
