For the last two years the Honda Dealer is telling me I need a new Catalytic Converter but my car passes inspection/emissions all the time...Why are they telling me I need a new Cat? I was under the impression that if you need a new CAT you never pass emissions....Any help would be awesome.

Agree. If you're under 8 years/80K miles the FED mandates that they have to replace it for free (including all incidental costs).
