Do both titles just like each of you are buying each others car.
Since it has a swapped motor, take it to a mechanic and have him check it out before you trade. You would be completely stupid not to. And I bet it would be hard for the car to pass emissions when you take it to get an inspection sticker.
Turn your caps lock off.

you will have problems passing legal smog with that swap, unless you have it properly barred. :now you know why the seller is selling it:
if your trading straight up, all you both need to do is fill out the transfer of owner ship paperwork and pay the $10 bucks or what ever it is.
but like i said registering is not the problem is your future smog check. of if you get pulled over you may get a ticket forcing you to go to the state smog ref, then your screwed.
good luck. and dont let the newer car and the better engine sway you, think ahead of the potential problems compared to your present car.
