Default Cat. Converter Problem

I have a situtation I am curious about. My check engine light has been coming on for a few months now, and the code always comes up as "catalytic efficency below threshold." I always just clear the code, but then took my civic to the dealership and had the converter replaced(it was under emissions warranty.) Well in the past month(ever since I put my header on) it has been rattling quite a bit, and the noise has gotten to the point of being a problem. Well I took it into the dealership, and they told me that my o2 sensors are "shot" and need to be replaced, and because of this, my catalytic converter is dying, they told me that until I replace these o2 sensors(one on the header, one on the cat) the problem will not go away. They said that the cat is burning too hot because of this o2 sensor problem, but I don't know how that can be, there are no moving parts?? Is this a line of bullshit? This dealership is KNOWN for ripping people off, etc. My friend has a brand new carsound cat he will sell to me for $100, but I don't want to spend the money if it is just going to "burn up" in a matter of weeks. The dealership gave me a quote of around $650 to fix the problem? What can I do?

I think I got quoted about 204 or so for just the primary o2 sensor. Multiply that by 2 and thats how much you should end up paying before labor. Personally, Id just get the new 02 sensors from somewhere else (autozone) and install them myself...its not brain surgery.
